Sherpa Terms of Service

1. Agreement to Terms

By downloading, accessing, or using Sherpa (“the App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the App.

2. Service Description

Sherpa is an AI-powered journal for athletes to reflect on training, track progress, and receive AI-generated insights.

Sherpa is not a substitute for professional medical, psychological, or coaching advice.

The App does not diagnose conditions, prescribe treatments, or replace the guidance of qualified healthcare providers, licensed therapists, or certified coaches. AI-generated insights are informational only and may be inaccurate or incomplete. Always consult a qualified professional before making decisions about your health, training, or well-being.

3. Pricing & Future Billing

Sherpa is currently available as a free app. We may introduce paid features or subscription plans in the future. If we do:

• Features and pricing will be described in the App before any purchase is required.
• Subscriptions will auto-renew unless canceled before the renewal date.
• Billing will be managed by the platform through which you subscribe (e.g., the Apple App Store), and that platform's terms will apply.
• You may cancel anytime via your platform's subscription settings.
• Upon cancellation, you will retain access until the end of the current billing period.

4. Refund Policy

Sherpa is currently free and no charges apply. If paid features are introduced in the future, refunds for purchases made through the Apple App Store will be governed by Apple's refund policies. For any billing questions or concerns, contact us at info@sherpajournal.app.

5. Acceptable Use

You agree not to:

• Misuse Sherpa (e.g., attempt to hack, reverse-engineer, scrape, or disrupt services).
• Post or share harmful, offensive, or illegal content through any Sherpa feature.
• Use Sherpa in any way that violates applicable laws.

6. Intellectual Property

All content, software, and designs of Sherpa are owned by Sherpa App, LLC. You may not copy, distribute, or exploit them without prior written consent. Your journal entries remain your own — see our Privacy Policy for how we handle your data.

7. Limitation of Liability

Sherpa is provided “as is” without warranties of any kind, express or implied. To the fullest extent permitted by law, Sherpa App, LLC is not liable for any indirect, incidental, or consequential damages arising from your use of the App.

8. Dispute Resolution

Any dispute arising from these Terms or your use of the App shall be resolved through binding arbitration administered under the rules of the American Arbitration Association, conducted in California. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

9. Termination

We may suspend or terminate your access if you violate these Terms. You may terminate your use at any time by deleting your account within the App.

10. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

11. AI Features & Third-Party Processing

Sherpa uses third-party AI providers (currently OpenAI) to generate journal insights. By using these features, you acknowledge that:

• Journal entry text is sent to a third-party provider for processing.
• AI-generated insights are informational only and do not constitute professional coaching, medical, or psychological advice.
• We make no guarantees about the accuracy, completeness, or suitability of AI-generated content.
• You are solely responsible for how you interpret and act on AI-generated insights.

Refund & Cancellation Disclosure

Sherpa is currently a free app with no subscriptions or in-app purchases. If paid plans are introduced in the future, subscriptions will renew automatically each billing cycle until canceled. You will be able to cancel anytime via your platform's subscription settings (e.g., the Apple App Store). Upon cancellation, you will retain access until the end of the paid period.
